Terms of service

These terms govern your use of the Eddric platform and services. By accessing or using the platform, you agree to be bound by them.
1. Definitions
- "Platform" means the Eddric web application, APIs, dashboards, and associated services at eddric.com.
- "Services" means the intelligence services delivered via the Platform, including SignalFlo and Campaign Intelligence (Sentiment-Driven DCO, Competitor Intelligence, Performance Analytics) and the shared compliance infrastructure.
- "Client", "you" refers to the organisation accessing or using the Platform.
- "We", "us" refers to Eddric Ltd.
- "Tenant" means the organisation account to which users are scoped.
- "Authorised user" means any individual granted access under a tenant.
2. Acceptance of terms
By accessing or using the Platform you confirm you have read, understood, and agree to be bound by these terms. If you are entering into these terms on behalf of an entity, you represent that you have authority to bind that entity. Material changes will be communicated via email or in-platform notification at least 14 days before they take effect.
3. Account registration and security
You are responsible for maintaining the confidentiality of credentials and for all activities under your account. Notify us at info@eddric.ai of any unauthorised access. Tenant access is governed by role-based permissions.
4. Services description
SignalFlo — Signal aggregation and machine-learning scoring for asset-management distribution. Salesforce-native.
Campaign Intelligence — Sentiment-Driven DCO — Sentiment classification of market conditions using publicly available data, with rule-based activation of pre-approved creative in connected DSPs.
Campaign Intelligence — Competitor Intelligence — Automated monitoring of competitor advertising across public ad libraries, with analysis, historical diffing, and briefing generation.
Performance Analytics Dashboard — Unified reporting across modules with export.
Compliance infrastructure — Shared layer providing audit trails, pre-deployment validation, circuit-breaker logging, and exportable reports.
The Services are tools. They do not constitute investment advice, financial recommendations, or legal counsel.
5. Permitted use
You agree not to:
- Use the Platform for any purpose that violates applicable law or regulation, including FCA rules, MiFID II, or the UK GDPR.
- Attempt to reverse-engineer, decompile, or disassemble any part of the Platform.
- Use bots or scrapers to access the Platform outside provided APIs.
- Share login credentials with unauthorised individuals.
- Resell or redistribute the Services without our prior written consent.
- Use the Platform to generate or disseminate misleading financial promotions.
- Interfere with the integrity of the Platform.
6. Data ownership and processing
a) Your data — You retain all rights to data you input.
b) Generated outputs — Scores, signals, findings, briefings, and audit logs are owned by your tenant and scoped to your account.
c) Public data — Competitor Intelligence processes only publicly available advertising data.
d) Machine-learning processing — Models run on publicly available or tenant data per the architecture. No proprietary client data is sent to external models. All interactions are logged.
e) Data retention — Tenant data is retained for the duration of subscription and 90 days post-termination.
7. Privacy and data protection
Personal data processing is governed by our Privacy Policy at eddric.com/privacy. We comply with the UK GDPR and the Data Protection Act 2018. A Data Processing Agreement is available on request.
8. Intellectual property
All IP in the Platform — software, algorithms, models, UI, documentation, and branding — remains the exclusive property of Eddric Ltd. You are granted a limited, non-exclusive, non-transferable, revocable licence to access and use the Platform for the duration of your subscription.
9. Third-party services and integrations
The Platform integrates with third-party services including Salesforce, Google Analytics, DV360, Google Ads Transparency Centre, Meta Ad Library, and LinkedIn Ad Library. Your use of those integrations is subject to the respective third party's terms. Changes to third-party APIs may affect Platform functionality.
10. Service availability and support
We aim to maintain Platform availability of 99.5% measured monthly, excluding scheduled maintenance. Support available at info@eddric.ai during UK business hours (Mon–Fri 09:00–17:30 GMT/BST).
11. Fees and payment
Fees are set out in the applicable Order Form. Quoted in GBP, exclusive of VAT. Invoices monthly or annually as agreed, payable within 30 days. We reserve the right to suspend access if payment is overdue by more than 14 days.
12. Confidentiality
Each party agrees to keep confidential all information received from the other party that is designated confidential or that a reasonable person would understand to be confidential. Confidentiality obligations survive termination for two years.
13. Limitation of liability
a) We shall not be liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, data, or business opportunity.
b) Our total aggregate liability shall not exceed total fees paid by you in the 12 months preceding the event giving rise to the claim.
c) The Platform provides intelligence and automation tools. It does not provide investment advice.
Nothing here excludes liability for death or personal injury caused by negligence, fraud, or anything that cannot be limited by English law.
14. Termination
By you — 30 days' written notice to info@eddric.ai. No refund for the remaining prepaid period.
By us — Immediate suspension for material breach, overdue fees beyond a 14-day grace, security risk, or legal requirement.
Effect — Access ceases. Data retained for 90 days for export, then permanently deleted unless retention is required by law.
15. Compliance with financial regulations
You remain solely responsible for ensuring your advertising activities comply with applicable laws and regulations. Eddric's compliance infrastructure is a supporting tool — it does not replace your legal or compliance obligations. We do not provide legal, regulatory, or compliance advice.
16. Force majeure
Neither party is liable for failure or delay caused by circumstances beyond reasonable control, including natural disasters, government action, pandemic, war, power failures, or third-party service failures. If a force majeure event continues for more than 60 days, either party may terminate by written notice.
17. Governing law and jurisdiction
These terms are governed by the laws of England and Wales. Disputes are subject to the exclusive jurisdiction of the courts of England and Wales.
18. General
Entire agreement — These terms plus the Privacy Policy and any Order Form constitute the entire agreement.
Severability — Invalid provisions do not affect the rest.
Assignment — You may not assign without our prior written consent.
Notices — To the email addresses associated with the respective party's account, or to info@eddric.ai.
